Elections - Motion from Philipp to update the election
organization/association/unit rules to add MZLA: The
'Mozilla Corporation' [1], the 'Mozilla Foundation', and
‘MZLA Technologies’ are (considered) separate companies for
purposes of "professional affiliation". Motion passed: 5
yes, 1 abstain

A motion was put forward by Philipp, who has a conflict of
interest. Then it should also never have been seconded. And at
least 3 people would have had to abstain for conflict of
interest on this vote because they are employed by the entities
in question.

Hence it is clear that self regulation and recusing oneself is
clearly not up to best practice yet. Hence I remain of the
opinion that it should be clearly defined in our by-laws. From
any legal or accounting point of view, these three entities are
one and the same entity. What should be the status of such
motions and votes?

I will keep pushing for rules and by-laws that will clarify what
is acceptable transparently and prevent future issues with
conflict of interest topics.

As the person who seconded this, the reason I did so was that
it was about updating the text of the election process to be
accurate. The old text of referred to "The Mozilla Corporation,
the Mozilla Foundation, and the Thunderbird project", once MZLA
Technologies was formed this needed to be updated. So this
motion was essentially changing "Thunderbird project" to "MZLA
Technologies".

This same rule has been used for the last several elections.

I understand that it is a small modification, but a conflict of
interest remains a conflict of interest. These rules only work when
they are applied consistently and correctly to issues big and small.
